Basically, it's patent-free, it can offer better lossless compression than GIF (I don't know how true this is), it can use alpha channel transparency - in other words, degrees of opacity like a PSD layer. Disadvantages probably include less widespread support than GIF, but this is rather insignificant since practically all of today's browsers support PNG. Internet Explorer doesn't support alpha transparency though, and that's the main reason that feature isn't often used. GIF, which is what PNG is primarily supposed to replace, is simply old and it's time to throw it in the garbage.
